Ding-go Creator Program Terms and Conditions

 

These Terms and Conditions (the "Program Terms") apply to any Creator who participates in the Ding-Go Creator Program ("Program"). By applying to or participating in the Program, you confirm your unconditional acceptance of these Program Terms. Ding-Go reserves the right to modify these Program Terms at any time. Your continued participation following any changes constitutes acceptance of the updated terms.

1. Overview

Ding-Go, Inc. ("Ding-Go," "we," "us," or "our") is an Asian snack e-commerce brand (ding-go.com) that invites selected content creators (each, a "Creator") to promote Ding-Go products in exchange for commissions and other benefits. Participation is entirely voluntary, and selection is at the sole discretion of Ding-Go.

2. Eligibility

To participate in the Program, you must:

• Be at least 18 years of age.
• Be a legal resident of the United States.
• Have a public Instagram account with a minimum of 2,000 followers. A public TikTok account is optional but encouraged.
• Not be a current employee of Ding-Go.

The Program is limited to individuals only, with one account per person. Memberships may not be transferred or assigned. Ding-Go reserves the right to verify eligibility and terminate membership at any time.

3. Affiliate Program

Promo Codes and Referral Links Upon acceptance into the Program, Creators will receive a unique promotional code ("Promo Code") and/or a unique referral tracking link ("Referral Link") via email. Commission tracking begins on the date the Creator receives their Promo Code or Referral Link.

Customers who use a Creator's Promo Code or Referral Link at checkout on ding-go.com will receive 10% off their qualifying purchase (before taxes and shipping), subject to the product exclusions listed below.

Commission Structure Creators earn a 10% commission on the net subtotal of each qualifying purchase made using their Promo Code or Referral Link. Commission is calculated after the 10% customer discount has been applied.

Example: A customer purchases $50 in qualifying products using a Creator's Promo Code:

• Customer receives 10% off → order subtotal = $45.00
• Creator earns 10% commission → $4.50

Tracking Window The tracking window is 30 days from the date a customer clicks a Creator's Referral Link or uses their Promo Code. A qualifying purchase must be completed within this window to generate a commission. If a customer uses multiple Referral Links, the most recently used link at the time of purchase will be credited.

Payout Terms

• Payment Method: All commissions are paid via Zelle. Creators must provide a valid Zelle-registered phone number or email address. Ding-Go is not responsible for failed payments resulting from incorrect or inactive Zelle account information.
• Payout Frequency: Commissions are paid out once per month, on the 1st of each calendar month, covering all qualifying commissions that have cleared in the prior 30-day period.
• Minimum Payout Threshold: Commissions will only be paid out once the Creator's balance reaches a minimum of $50.00 USD. Balances below this threshold will roll over to the following month.
• Returns and Chargebacks: If a customer returns a purchase or initiates a chargeback, the corresponding commission will be reversed or deducted from the Creator's pending balance.

Product Exclusions The following purchases are not eligible for affiliate commissions:

• Gift cards and store credit.
• Purchases made by the Creator using their own Promo Code or Referral Link (self-referrals).
• Items already subject to a separate promotional discount greater than 10%.
• Purchases that are subsequently returned, refunded, or charged back.
• Any products designated by Ding-Go as excluded from the affiliate program.

4. Creator Tasks and Incentives

From time to time, Ding-Go may invite Creators to complete specific tasks ("Tasks") — such as creating social media content or posting a Referral Link — in exchange for additional bonuses ("Incentives"). All Tasks are communicated via email. Creators have no obligation to complete any Task. Ding-Go reserves the right to add, modify, or discontinue Tasks and Incentives at any time.

5. Relationship of Parties

Creators are independent contractors, not employees, agents, or representatives of Ding-Go. Creators are not entitled to any employee benefits and have no authority to act on behalf of or bind Ding-Go in any capacity.

6. Communications

All Program communications — including Promo Codes, commission updates, and payout notices — will be sent via email. By joining the Program, you agree to receive Program-related emails from Ding-Go. You may also receive Ding-Go marketing emails, from which you may unsubscribe at any time. Unsubscribing from marketing emails does not affect Program operational communications.

7. Content Guidelines

All content you create and post in connection with the Program ("Content") must comply with the following:

• Do not violate the intellectual property, privacy, or other rights of any third party. All music used must be licensed for commercial use.
• Do not mention any brand other than Ding-Go.
• Do not post content that is unlawful, threatening, harassing, defamatory, obscene, sexually explicit, hateful, or discriminatory.
• Do not impersonate Ding-Go, its employees, or any other person or entity.
• Do not make false, misleading, or unverified claims about Ding-Go or its products.

8. Content License

By submitting Content as part of the Program, you grant Ding-Go a perpetual, worldwide, royalty-free, sublicensable, transferable, and irrevocable license to use, reproduce, distribute, display, adapt, and create derivative works from your Content and Creator Likeness (including your name, image, and voice as embodied in the Content) for any commercial or non-commercial purpose, without further compensation or approval.

You represent and warrant that your Content is original, that you own or have the necessary rights to all materials included in it, and that Ding-Go's use of your Content will not infringe any third-party rights.

9. Confidentiality

As a Creator, you may receive access to non-public information about Ding-Go's business, products, or plans ("Confidential Information"). You agree to keep all Confidential Information strictly confidential, use it only for Program purposes, and not disclose it publicly or to any third party. Any feedback or ideas you share with Ding-Go become the sole property of Ding-Go.

10. Termination

Ding-Go may suspend or terminate your participation in the Program at any time, for any or no reason, with or without notice. Upon termination, any outstanding commissions that have cleared will be paid in accordance with the regular payout schedule. Violations of these Program Terms may result in immediate termination and forfeiture of pending commissions.

11. Indemnification

You agree to indemnify and hold harmless Ding-Go, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising from your Content, your participation in the Program, or your violation of these Program Terms.

12. Limitation of Liability

IN NO EVENT SHALL DING-GO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR PARTICIPATION IN THE PROGRAM. YOU WAIVE THE RIGHT TO BRING ANY CLAIM AGAINST DING-GO MORE THAN ONE (1) YEAR AFTER THE EVENT GIVING RISE TO SUCH CLAIM.

13. Dispute Resolution

Any disputes arising out of or relating to the Program will be resolved through binding individual arbitration. You agree to waive any right to bring a class action or representative proceeding against Ding-Go.

14. General

• Severability: If any provision of these Program Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
• Non-Waiver: Failure by Ding-Go to enforce any provision of these Program Terms shall not constitute a waiver of that provision.
• Entire Agreement: These Program Terms constitute the entire agreement between you and Ding-Go with respect to the Program.
